These Terms of Use (these “Terms”) set forth the terms and conditions governing your access to and use of the websites, mobile websites, mobile applications, and other web portals (collectively, the “Site”) owned, operated, branded, or provided by foodmachtech.com (as defined below) from time to time. This document is a legally binding agreement between you (a “User” or “you”) and the contracting entity of foodmachtech.com identified under Section 2.1 (“foodmachtech.com”, “we”, or “us”).
The Privacy Policy and other publicly posted platform rules referenced in these Terms are an integral part of these Terms and have the same legal effect.
1. Application and Acceptance of Terms
1.1 Your access to and use of the Site, and the services, software, and products provided by foodmachtech.com through the Site (collectively, the “Services”), are governed by these Terms, the Privacy Policy, and any other Site rules and policies published by foodmachtech.com from time to time (collectively, the “Terms”). By accessing and using the Site and Services, you agree to be bound by these Terms. If you do not accept all of the Terms, do not access or use the Services or the Site.
1.2 You acknowledge and agree that the Site and Services are intended solely for commercial entities and their representatives, and not for individual consumers. You represent and warrant that you access and use the Site and Services solely for commercial purposes, and not for personal, family, or household consumption. You further acknowledge that your purchase, use, or acceptance of services related to this Platform is not subject to the Consumer Rights Protection Law of the People’s Republic of China and relevant consumer protection laws and regulations. If you use the Site as a consumer, you shall immediately cease access. foodmachtech.com reserves the right to require you to provide business licenses, operation qualifications, and other supporting documents to verify your commercial identity.
1.3 You may not access or use the Services or the Site, or accept these Terms, if: (a) you have not reached the legal age (e.g., under 18 years of age if you are in the European Union (EU) and European Economic Area (EEA)) and are unable to enter into a binding contract with foodmachtech.com; or (b) you are prohibited by the laws of Hong Kong or any other country/region (including the country/region where you reside or from which you access and use the Services and Site) from receiving any Services; or (c) you will not use the Site as a commercial entity/professional. You acknowledge that the Site and Services are not intended for consumers.
1.4 foodmachtech.com may revise these Terms at any time. We will post an announcement on the Site in the event of material changes. Your continued access to or use of the Services constitutes acceptance of the revised Terms.
1.5 If these Terms are translated into other languages, the English version shall prevail in the event of any conflict.
1.6 You may be required to enter into additional agreements with foodmachtech.com or its affiliates for specific Services. If there is any inconsistency between the additional agreements and these Terms, the additional agreements shall prevail.
1.7 These Terms may not be modified otherwise unless signed in writing by an authorized representative of foodmachtech.com.
2. Provision of Services
2.1 Contracting Entity：Global Food Machinery (Shenzhen) Network Technology Co., Ltd.
This Platform is a cross-border B2B trading platform for food processing machinery, designed to provide information interaction and transaction matchmaking services for suppliers and buyers. Its core functions include, but are not limited to: supplier onboarding and store establishment, categorized product display, customer inquiries and communication, online ordering and transaction management, payment and settlement support, production line and solution introduction, and industry news and policy information release.
2.2 You must register as a member to use the core functions of the Platform. foodmachtech.com reserves the right to restrict or refuse to provide Services (or partial functions) to any User, including making certain Services available only to paying users.
2.3 The Services provided may vary by region and country. foodmachtech.com may, at its sole discretion, set different levels of access permissions for different Users.
2.4 foodmachtech.com may launch, modify, upgrade, suspend, or discontinue any Services at any time; provided that for paid Services, such changes shall not materially and adversely affect the core Services you have purchased.
2.5 Certain Services may be provided by affiliates of foodmachtech.com on its behalf.
2.6 Promotion Services include top ranking, sponsored listings, and services to promote User brands, products, content, etc., on Foodmachtech channels or third-party channels. foodmachtech.com reserves the right to decide at its sole discretion whether to provide you with Promotion Services or any part thereof.
3. General User Provisions
3.1 You agree to comply with all applicable laws and regulations when accessing or using the Site and Services, including but not limited to anti-money laundering and counter-terrorist financing regulations.
3.2 You shall not: (a) reproduce, republish, download, re-post, sell, distribute, or resell any Services or Site Content; (b) use Site Content for purposes of competing with foodmachtech.com or commercial development. Without prior written permission, you are prohibited from systematically retrieving Site Content to create databases or directories by any means. You are prohibited from using Site Content for any purpose not expressly permitted under these Terms.
3.3 For the processing of personal information, please refer to our Privacy Policy.
3.4 The Site may contain links to third-party websites. You shall read the terms of use and privacy policies of such websites. foodmachtech.com shall not be liable for any third-party websites.
3.5 You shall not compromise the security of the computer systems or networks of foodmachtech.com or other Users, nor access such systems or networks without authorization.
3.6 You shall not undermine the integrity of the foodmachtech.com feedback system, such as by engaging in self-buying and self-selling, using fake accounts to give yourself positive reviews or other Users negative reviews.
3.7 Intellectual Property Rights and Licensing of User Content
(a) Ownership Retained by User: The intellectual property rights (including but not limited to copyright, trademark rights, etc.) in any information, materials, or content you submit, post, or display through the Site (“User Content”) shall remain owned by you or the legitimate rights holder. Nothing in these Terms shall transfer the intellectual property rights in User Content.
(b) License to Platform: By posting or displaying any User Content on the Site, or providing any User Content to foodmachtech.com, you grant foodmachtech.com and its affiliates an irrevocable, perpetual, worldwide, royalty-free, sublicensable (through multiple tiers) license to display, transmit, distribute, reproduce, publish, adapt, modify, edit, translate, create derivative works from, delete any part of, and otherwise use any or all User Content in any form, medium, or technology (whether now known or hereafter developed) on the Site, Foodmachtech channels, and/or third-party channels, for any purpose that may directly or indirectly benefit foodmachtech.com, the operation of the Site, the provision of any Services and Promotion Services, and/or your business. To the fullest extent permitted by law, you waive the right to enforce your intellectual property rights in User Content against foodmachtech.com and/or its affiliates, assignees, or sublicensees in connection with the use of such User Content for the Services.
(c) Your Warranties: You warrant that you have all rights necessary to grant the foregoing license, and that User Content does not infringe any third party’s intellectual property rights, privacy rights, or other legitimate rights and interests. You shall bear all legal liabilities arising from User Content infringement and indemnify foodmachtech.com for all losses incurred thereby.
4. Member Accounts
4.1 Users must register to use certain Services. A User may only register one member account unless otherwise agreed in writing by foodmachtech.com. If we reasonably suspect that you control two or more accounts at the same time, foodmachtech.com may cancel or terminate the relevant accounts. We may also reject any registration application.
4.2 Upon successful registration, foodmachtech.com will assign you an account and issue a member ID and password.
4.3 Each set of member ID and password corresponds to a unique account. You are fully responsible for all activities under your account and shall properly safeguard your ID and password. You shall not share, transfer, or allow others to use your account. You shall immediately notify foodmachtech.com upon discovering any unauthorized use of your account.
4.4 All actions taken under your account (including but not limited to posting information, clicking to accept additional agreements, making payments, sending emails, etc.) shall be deemed authorized by you.
4.5 Account Transfer and Cancellation
(a) Account Transfer: Subject to review and approval by foodmachtech.com, you may transfer your account to your affiliate, or transfer it in the event of material changes to your company such as merger or restructuring. Any transfer shall be conducted through the Platform-specified process and accompanied by necessary legal supporting documents. Any private transfer without the Platform’s written consent shall be invalid, and the Platform reserves the right to suspend or terminate the account accordingly.
(b) Account Cancellation: You have the right to apply for account cancellation at any time through the “Account Settings” section of the Site or by contacting customer service. Cancellation conditions include: no pending transactions, unresolved complaints or disputes, unfulfilled contractual obligations, or outstanding payments under the account. After your cancellation application is approved, your User Content may be deleted or anonymized, and relevant information will be retained for the necessary period in accordance with the Privacy Policy. Cancellation is irreversible; please proceed with caution.
4.6 foodmachtech.com shall not be liable for any losses caused by your sharing of the account with others or failure to protect account security, and reserves the right to suspend or terminate your account.
5. Member Responsibilities
5.1 You represent and warrant that: (a) you have full legal capacity to accept these Terms and perform your obligations; (b) you access and use the Site and Services solely for commercial purposes; (c) if you are a commercial entity, the address you provide is your principal business address.
5.2 All information you provide upon registration (including but not limited to company name, address, contact information, contact person’s name, etc.) must be true, accurate, and complete, and you shall update it promptly in the event of any changes.
5.3 By becoming a member, you agree that we may include your contact information in our database and use or share it with other Users in accordance with the Privacy Policy.
5.4 You further represent and warrant that: (a) you have obtained all necessary third-party licenses for User Content; (b) User Content does not infringe any third-party rights; (c) you have the legal right to sell or provide the relevant products or services, and such provision does not violate any third-party rights; (d) you and your related parties have not been banned by any major e-commerce platform for counterfeit sales or other reasons.
5.5 User Content shall not: (a) be false or misleading; (b) be defamatory, obscene, threatening, harassing, or discriminatory; (c) violate the Product Listing Policy or any laws and regulations; (d) contain malicious links, etc.
5.6 Prohibited Conduct List on the Platform

| Exploiting Vulnerabilities for Profit | Taking unfair advantage of platform technical vulnerabilities, rule defects, system errors, incorrect price labeling, etc. |

5.7 You shall not use the Site or Services to engage in activities that are the same as or similar to the e-commerce platform business of foodmachtech.com.
5.8 If you provide a business referee, you warrant that you have obtained their consent and authorization.
5.9 You shall cooperate with foodmachtech.com to provide necessary information and assistance. foodmachtech.com shall not be liable for any delay or termination of Services caused by your failure to cooperate.
5.10 foodmachtech.com has no obligation to monitor User Content and shall not be liable for any content posted by Users. Each User shall bear full legal liability for its own communications.
5.11 You acknowledge that the Site and Services are intended solely for commercial use and not for consumer or personal use.
5.12 You shall be solely responsible for complying with all applicable laws and regulations of your jurisdiction.
5.13 You warrant and agree that:
(a) You and your affiliates shall comply with applicable laws and regulations in conducting your respective businesses (including but not limited to laws and regulations relating to product safety, intellectual property, data privacy, consumer protection, product or regulatory certification, import and export control, unfair competition, price fraud, false advertising, labor, environment, health and safety, anti-bribery, and anti-money laundering);
(b) You and your affiliates are not subject to any trade restrictions, sanctions, or other legal restrictions promulgated or proposed by any country, international organization, or jurisdiction (the “Relevant Authorities” mean the United Nations, the People’s Republic of China, the United States of America, the European Union, and other sovereign countries, international organizations, and jurisdictions with the authority to promulgate trade restrictions, sanctions, and other legal restrictions);
(c) You and your affiliates shall not provide products or services that may trigger any international trade restrictions, sanctions, or other legal restrictions imposed by any Relevant Authorities;
(d) You or any of your parent companies or affiliates shall not directly or indirectly transact with, or provide any funds, goods, or services to, the Relevant Authorities;
(e) You shall at all times comply with all applicable export control and sanctions laws and regulations when using the Services, including sanctions resolutions, laws, and regulations promulgated and enforced by the United Nations Security Council, the People’s Republic of China, the United States of America, and any other country;
(f) If you and your affiliates are sellers of products requiring warnings under Section 25249.6 of the California Health and Safety Code (“Proposition 65 Warnings”), you (i) shall immediately display the Proposition 65 Warning on the product detail page as required by applicable laws; (ii) authorize foodmachtech.com to display the Proposition 65 Warning on your behalf; (iii) shall only modify or remove the Proposition 65 Warning for a product if the previous warning needs to be revised or no longer required by law (as applicable); and
(g) You and your affiliates are responsible for ensuring your products comply with the laws and regulations of the local country/region, destination country/region, and other applicable international conventions, including but not limited to labor laws and standards such as the Forced Labour Convention, 1930 and the Abolition of Forced Labour Convention, 1957. If a product is prohibited from possession, sale, purchase, export, import, or manufacture by one or more countries/regions, the Site reserves the right to remove the product listing from such countries/regions or cease selling any such product in such countries/regions.
(h) You certify and undertake that the products and services you provide to EU Users comply with the applicable rules of EU law.
If at any time you fail to meet any of the foregoing requirements, you shall immediately cease using the Services. If foodmachtech.com reasonably believes that any of your conduct violates or may violate any applicable laws and regulations, foodmachtech.com may, at its sole discretion, take such actions as it deems appropriate at any time, including but not limited to terminating the provision of Services to you, closing relevant purchase orders, terminating your account, while reserving all rights it may have in respect of any non-compliance or conduct of the member.
6. Member Breach of Terms
6.1 foodmachtech.com reserves the right to delete, modify, or reject any User Content that violates these Terms, applicable laws and regulations, or infringes third-party rights, at its sole discretion.

Where the Platform takes permanent measures such as account termination, it shall notify you of the specific reasons for the violation and appeal channels (see Section 6.7) via in-site message or email at the same time as taking the measures.
6.3 Material Breach Cases

6.4 foodmachtech.com reserves the right to cooperate with government, regulatory, and law enforcement agencies and aggrieved third parties in investigations, and disclose your relevant account and transaction information to the extent permitted by applicable laws. The Platform shall not be liable for any such lawful disclosure.
6.5 You agree to indemnify foodmachtech.com and its affiliates against any damages, claims, and expenses (including full legal fees) arising from your violations, User Content, or breach of these Terms.
6.6 The Platform shall not be liable for any User Content posted and transmitted by Users, and relevant risks shall be borne by members themselves. The Platform reserves the right to defend itself in respect of relevant matters, and members shall provide necessary cooperation.
6.7 Appeal Mechanism: If you object to the Platform’s penalty, you may submit a written appeal and evidence to the email address: business@globalfoodmach.net. The Platform shall complete a review within 30 working days of receiving the appeal, and the original penalty measures shall not be suspended during the appeal period.
7. Transactions Between Buyers and Sellers
7.1 Platform Role: foodmachtech.com provides e-commerce platform technical services, including information display, inquiries, online order management, etc. foodmachtech.com is not the seller or buyer of any transaction, nor does it participate in the transaction itself. We do not control and shall not be liable for the quality, safety, legality of products or services, the seller’s performance ability, or the buyer’s payment ability.
7.2 Risk Warning: Online transactions carry risks (e.g., fake identities, fraud). foodmachtech.com will take certain verification measures but cannot fully guarantee the authenticity of each User’s identity. You shall assess the counterparty on your own.
7.3 Transaction Risks: All transactions conducted through the Site may be subject to various risks, including but not limited to: false product descriptions, substandard quality, infringement of third-party rights, transportation risks, customs risks, payment risks, etc. (“Transaction Risks”). You shall bear all Transaction Risks, and foodmachtech.com shall not be liable therefor.
7.4 Buyers and sellers shall negotiate and determine transaction terms (including price, payment, delivery, returns, warranties, etc.) on their own. Any disputes arising from products or services shall be resolved by the buyer and seller on their own. If both parties choose to use transaction services provided by the Platform (e.g., online payment, performance guarantee), they shall also comply with the Transaction Services Agreement.
7.5 You shall provide transaction-related information and materials to foodmachtech.com as required. Failure to do so may result in account suspension.
7.6 Dispute Resolution: If you have a dispute with another User, you shall first attempt to resolve it amicably through negotiation. You release foodmachtech.com from any liability arising from such dispute. To the extent permitted by applicable laws, the Platform may assist in dispute resolution (e.g., providing transaction records) but has no obligation to adjudicate or enforce.
7.7 Sellers represent and confirm that all product listings and content constitute commercial advertisements/commercial communications.
8. Limitation of Liability and Disclaimer
8.1 Disclaimer: To the fullest extent permitted by law, the Site and Services are provided on an “as is”, “as available” and “with all faults” basis. foodmachtech.com expressly disclaims all warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, etc.
8.2 foodmachtech.com does not warrant that the Site or Services will be continuously available or error-free, nor that any information is completely accurate or reliable.
8.3 You bear the entire risk of downloading any materials or obtaining information through the Site.
8.4 foodmachtech.com shall not be liable for any third-party products or services provided through the Site.
8.5 You agree to indemnify foodmachtech.com against any losses arising from your use of the Services, breach of these Terms, or infringement of third-party rights.
8.6 You further agree to indemnify foodmachtech.com against third-party claims arising from your User Content or products.
8.7 Limitation of Liability: To the fullest extent permitted by law, foodmachtech.com shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, data loss, business interruption, etc.
8.8 Total Liability Cap: To the fullest extent permitted by law, the aggregate liability of foodmachtech.com and its affiliates to you for all claims arising out of your use of the Services or related to these Terms in any single calendar year shall be limited to the total fees you actually paid to foodmachtech.com in such calendar year. If you have not paid any fees to foodmachtech.com, the liability cap of foodmachtech.com shall be zero RMB or the minimum amount permitted by law. Statute of Limitations: 1 year. Any claims not filed within such period shall be deemed permanently waived by you.
8.9 The limitations and exclusions of liability set forth in these Terms shall apply to the fullest extent permitted by law, regardless of whether foodmachtech.com has been advised of or should have been aware of the possibility of any such losses.
9. Force Majeure
9.1 foodmachtech.com shall not be liable for service interruptions or delays caused by system maintenance or force majeure events (including but not limited to natural disasters, war, strikes, government actions, epidemics, cyberattacks, telecommunications failures, third-party non-performance, etc.).
10. Intellectual Property Rights
10.1 Intellectual Property Rights Complaint and Counter-Notification Procedures
(a) Right Holder Notification Procedure: If any right holder believes that Site Content infringes its legitimate rights and interests, it may send a written notice to foodmachtech.com via business@globalfoodmach.net. A valid notice shall include: (i) the true identity information and contact details of the right holder; (ii) preliminary evidence of infringement (e.g., ownership certificate, link or screenshot of infringing content); (iii) a written statement confirming the authenticity of the notice.
(b) Platform Processing Measures: Upon receiving a valid notice, foodmachtech.com shall promptly forward the notice to the complained User and take necessary measures such as removing, blocking, or de-linking the allegedly infringing content in accordance with applicable laws.
(c) User Counter-Notification Procedure: If a complained User believes its content does not constitute infringement, it may submit a written counter-notification to the Platform stating preliminary evidence of non-infringement and true identity information. Upon receiving the counter-notification, the Platform shall forward it to the right holder and inform the right holder that it may file a complaint with the competent authority or institute legal proceedings.
(d) Platform Disclaimer: foodmachtech.com is only a platform providing information storage services and has no obligation to conduct prior proactive review of User product information and transaction behavior. The Platform shall only take measures such as removing, blocking, or de-linking allegedly illegal or infringing content upon receiving a valid notice from a right holder or as required by laws and regulations. Users shall bear full responsibility for the legality, authenticity, and compliance of the content they post.
10.2 All rights, title, and interest in the Site and Site Content (excluding User Content) shall be owned by foodmachtech.com or its licensors and protected by copyright, trademark law, and other laws.
10.3 “Foodmachtech”, “foodmachtech.com”, “GOLD SUPPLIER”, “TRUSTPASS” and related logos are registered trademarks or service marks of foodmachtech.com or its affiliates and may not be used without prior written permission.
10.4 You shall not use the logos of any third-party service providers.
10.5 Intellectual property rights in derivative works created by foodmachtech.com based on User Content shall be owned by foodmachtech.com.
11. Notices
11.1 All legal notices or demands to or upon foodmachtech.com shall be made in writing and sent by hand, courier, or registered mail to the following entity and address: Global Food Machinery (Shenzhen) Network Technology Co., Ltd., Room 1106-105A, Qianhai Hysoon Building, No. 18 Zimao West Street, Nanshan Street, Qianhai Shenzhen-Hong Kong Cooperation Zone, Shenzhen City, Attn: Legal Department. Notices shall take effect when received by foodmachtech.com in the foregoing manner.
11.2 Notices to Users may be sent via email, in-site message, or Site announcement. Notices shall be deemed delivered upon dispatch.
11.3 You agree that we may provide you with all agreements, notices, and other documents in electronic form.
11.4 For Users who repeatedly violate the rules or post obviously illegal content, we may suspend their services in accordance with the Platform Terms of Use such as the Rule Center.
12. Governing Law and Arbitration
12.1 All disputes shall be exclusively and finally resolved by arbitration, to the exclusion of court proceedings.
12.2 The parties shall first attempt to resolve disputes through friendly consultation for 30 days; if unresolved, disputes shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration, conducted in English, with the seat of arbitration in Hong Kong.
12.3 Arbitration proceedings shall be confidential and governed by Hong Kong law.
12.4 Disputes shall be arbitrated individually, and class arbitration, class actions, and representative actions are prohibited.
12.5 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and class arbitration shall remain strictly prohibited.
13. Miscellaneous
13.1 These Terms constitute the entire agreement between you and foodmachtech.com.
13.2 The parties are independent contractors, and no agency, partnership, employment, or similar relationship is created hereby.
13.3 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.4 Headings are for reference only and shall not limit the meaning of the provisions.
13.5 Failure by foodmachtech.com to enforce any right shall not constitute a waiver of such right.
13.6 Assignment: foodmachtech.com may assign these Terms to any affiliate or successor. You may not assign these Terms without our prior written consent.

13.8 Minor Protection: The Platform and Services are intended solely for representatives of commercial entities who are at least 18 years of age and have full legal capacity, and not for minors. We will not knowingly collect any personal information of minors under 18 years of age. If you are under 18 years of age or register and use the Platform as a consumer, we reserve the right to immediately terminate your account and delete relevant data.
